The acquisition process saw 7,568,145 shares tendered, representing 61.15% of voting rights. This figure, combined with a 22.10% stake previously secured through an agreement with Lantano Beteiligungen GmbH, pushed the total well beyond the 50% minimum requirement. Persistent Systems CEO Sandeep Kalra described the result as a confirmation of the strategic logic behind the merger, aiming to establish a global leader in AI-driven digital engineering.
Shareholders who missed the initial deadline have until October 6, 2026, to participate in the additional acceptance period. Looking ahead, Persistent intends to delist Nagarro from the Frankfurt Stock Exchange’s Prime Standard as soon as legally feasible. While the Management Board of Nagarro has indicated a willingness to support this move, the transition is expected to remove the company from the SDAX index and likely impact share liquidity. The transaction is slated to close by the end of the first quarter of 2027, pending final regulatory approvals.
