The proposed transaction involves transferring all operating assets associated with cryptocurrency production—including the Montana data center and existing mining hardware—to the new entity. By establishing Patriot BTC as a standalone business, Hyperscale Data intends to sharpen management focus and clarify capital allocation strategies. Executive Chairman Milton "Todd" Ault III stated that the divergence in capital requirements and operational drivers between Bitcoin mining and AI infrastructure necessitates this separation, as each business requires a distinct mandate to maximize shareholder value.
Management is currently evaluating options to potentially position Patriot BTC as an independent, publicly traded entity, though no definitive structure or timeline has been finalized. The formation remains subject to board approval, regulatory compliance, and various legal conditions. If successful, the move would allow the company to position its Michigan facility as a pure-play AI data center, while Patriot BTC operates with a singular focus on mining economics and power infrastructure.
