Dominican Republic Receives $1.38 Billion in Bond Tender Offers

Investors have tendered US$1.38 billion in existing 5.950% bonds due 2027, representing approximately 81.48% of the total outstanding principal. The tender offer, which closed on September 21, marks a significant step in the Dominican Republic’s broader strategy to manage its sovereign debt portfolio through a concurrent new notes issuance.

The government confirmed that the purchase price for the validly tendered bonds is set at US$1,006.25 per US$1,000 of principal, plus accrued interest. This buyback remains contingent upon the successful closing of a new U.S. dollar-denominated debt offering under New York law, with the Republic intending to utilize proceeds from the new issuance to cover the existing debt obligations.

While the tender window has closed, the Republic maintains the right to reject orders or terminate the offer if specific conditions are not met. If the total cost exceeds the established maximum purchase price, the government will apply a proration factor to the tenders. Pending final verification and satisfaction of all terms, settlement is expected to take place on September 28, 2026. Citigroup Global Markets and J.P. Morgan Securities are serving as dealer managers for the transaction, with Global Bondholder Services Corporation acting as the information agent.
