The appointment follows a long-standing relationship between the retailer and Conifer, which manages the Acacia funds. Group 1 President and CEO Daryl Kenningham noted that the decision reflects a desire to formalize the company’s engagement with its long-term investors. Non-Executive Chair Charles Szews stated that integrating the perspective of major shareholders directly into boardroom discussions is intended to support the company’s strategic execution.
Benjamin Hart brings nearly two decades of investment experience to the role, including previous positions at Glenville Capital Management and The Haverford Trust Company. He currently serves on the board of the UK-based diagnostics firm CelLBxHealth. Under the terms of the agreement between Group 1 and Conifer, the company will file customary provisions regarding voting, standstill, and confidentiality with the SEC.
