The complaint, filed in the United States District Court for the Western District of Texas, centers on a May 12 announcement regarding a non-binding Letter of Intent with VFG Holdings. Hyliion claimed the deal involved up to 250 KARNO Cores, intended for 50 MW of data-center power capacity over a five-year period. Following this news, the company’s share price saw a significant surge.

Market optimism shifted abruptly on June 23, 2026, after Pelican Way Research released a report questioning the financial and operational viability of VFG Holdings. The market reaction was immediate: Hyliion shares dropped $1.27 on the day of the report and shed another $1.18 the following day, closing at $4.92. The lawsuit alleges that Hyliion’s management misled shareholders by presenting the VFG relationship and broader commercial prospects with unwarranted confidence.
