Santander Clears Final Regulatory Hurdle for Webster Financial Acquisition

Banco Santander has secured approval from the Federal Reserve to finalize its acquisition of Webster Financial Corporation, clearing the path for the transaction to close on August 20, 2026. This decision follows prior authorizations from the Office of the Comptroller of the Currency and the European Central Bank.

The merger combines the global reach of the Spanish banking giant with the regional footprint of the Stamford-based holding company. Once the deal concludes, the majority of Webster’s operations will be integrated into Santander Bank, N.A. Until that date, both institutions will maintain independent operations, with no immediate changes required for existing customers regarding their accounts or services.

Leadership at both firms emphasized the strategic value of the union. Ana Botín, Executive Chair of Santander, described the two organizations as a perfect match that will leverage shared technology to serve U.S. markets more effectively. John Ciulla, Chairman and CEO of Webster, noted that the increased scale will allow the firm to deepen local relationships while maintaining the service standards expected by its clients. Santander projects that the U.S. business will achieve a return on tangible equity of approximately 18% by 2028 as a result of the integration.
