The lawsuit, spearheaded by Hagens Berman Sobol Shapiro LLP, centers on allegations that GeneDx misled shareholders regarding the integration of Fabric Genomics. While executives touted the acquisition as an AI-driven catalyst for software revenue and improved margins, the complaint claims these assertions obscured significant operational disconnects and integration failures.
The facade crumbled on May 4, 2026, when the company revealed quarterly results that missed revenue targets and forced a drastic reduction in full-year guidance. GeneDx slashed its 2026 revenue outlook to a range of $475 million to $490 million, down from previous projections of up to $550 million. The company also recorded a $31.2 million impairment loss on the Fabric unit, effectively wiping out 94% of the acquisition's original value. This disclosure triggered a massive sell-off, sending the stock price tumbling from $67.93 to $34.51 and erasing billions in market capitalization.
Reed Kathrein, a partner at Hagens Berman, stated that the firm is investigating the full extent of the alleged misrepresentations regarding the company's AI efficiencies. Investors who purchased shares during the class period and incurred substantial losses are encouraged to contact the firm before the August 3 deadline.
