The lawsuit centers on claims that AST SpaceMobile failed to disclose that its competitive edge in the direct-to-cellular satellite market had been compromised, particularly following a major spectrum agreement by competitor SpaceX in late 2025. While management publicly touted accelerated commercial activity, the complaint asserts that adoption data in key markets was significantly lower than represented to the public. By January 2026, the company reportedly had not documented a single retail customer, and penetration rates in Japan remained in the single digits.
These disclosures triggered a series of sharp declines in the company’s share price. Notably, the stock dropped 12.06% on January 7, 2026, following reports of slow user adoption, and fell an additional 17.04% on July 16, 2026. Joseph E. Levi, an attorney representing the class, stated that investors were denied transparency regarding material risks that directly impacted their holdings. The litigation highlights a growing gap between the company's internal performance metrics and its public assertions of industry leadership.
