The lawsuit centers on claims that Black Rock Coffee’s registration statement for its September 2025 IPO contained materially false or misleading information. Plaintiffs allege that the company failed to disclose that new store openings were cannibalizing existing service locations and revenue. Furthermore, the complaint asserts that management overstated the effectiveness of their expansion strategy in avoiding "sales transfer," a factor that ultimately had a significant negative impact on the firm's financial results.
