Innventure Faces Investor Lawsuit After DarkNX Project Collapse

A 55% single-day stock price crash on August 14, 2026, has triggered a securities class action lawsuit against Innventure, Inc. The litigation targets the company’s alleged misrepresentation of a 300-megawatt data center deal in Ontario, which investigators claim was a fictional venture used to inflate revenue projections.

The legal action, led by Hagens Berman, centers on statements Innventure made regarding its Accelsius subsidiary and a partnership with DarkNX. Throughout the class period between November 2025 and August 2026, the company touted a cooling technology deployment as a landmark industry shift. However, a May 2026 report by Morpheus Research labeled the deal a fabrication, citing former employees who claimed the project and the partner company did not exist.

Innventure eventually abandoned the project in August 2026, admitting the designated deployment site was unavailable and suspending its 2026 financial guidance. This revelation caused shares to plummet, capping a total decline of 74% from their May peak. Reed Kathrein, a partner at Hagens Berman, is now investigating whether management intentionally misled shareholders with revenue forecasts described by internal sources as pure fiction. Investors who suffered losses have until October 27, 2026, to apply for lead plaintiff status as the firm seeks to recover damages for those affected by the alleged securities fraud.
