Criteo Completes Move to Luxembourg, Sets Sights on U.S. Domicile

Commerce intelligence firm Criteo has finalized the transfer of its legal domicile from France to Luxembourg, marking the first phase of a strategic reorganization. The company now plans to pursue a cross-border merger to establish its headquarters in the United States by January 2027.

Following the effective date of July 29, 2026, Criteo has terminated its American Depositary Share program, transitioning to direct trading of ordinary shares on the Nasdaq under the ticker symbol CRTO. This shift is intended to streamline the company's capital structure and remove the complexities associated with its previous depositary arrangements.

The Board of Directors views this international migration as a catalyst for long-term shareholder value. By moving toward a U.S. domicile, Criteo aims to qualify for inclusion in major domestic indices, broaden its investor base, and gain greater flexibility in managing share repurchases. Chairman Frederik Van der Kooi noted that the move is designed to enhance corporate flexibility as the company integrates further into American capital markets.

Looking ahead, the firm expects to shift its stock listing from the Nasdaq to the New York Stock Exchange upon completion of the U.S. merger. This transition remains subject to shareholder approval and various regulatory conditions. The company intends to file a registration statement with the SEC to provide stakeholders with the necessary details regarding the proposed merger and subsequent governance changes.
