Continental Resources Shareholders Reach $60 Million Settlement

A $60 million settlement has been reached in the Oklahoma stockholder class action against Continental Resources, potentially resolving allegations that the 2022 take-private transaction led by Harold Hamm involved inadequate compensation and breaches of fiduciary duty.

The proposed agreement, filed in the District Court of Oklahoma County, concludes litigation stemming from the November 2022 deal where shareholders were bought out at $74.28 per share. Plaintiffs, including Ralph Donald Turlington and the Pembroke Pines Firefighters & Police Officers Pension Fund, alleged that the process was unfair and that insiders breached their duties through inadequate valuation and improper conduct. The settlement covers investors who held common stock between October 17 and November 22, 2022.

Judge Richard C. Ogden is scheduled to preside over a settlement hearing on November 10, 2026, at the Oklahoma County Courthouse. The court will evaluate the fairness of the $60 million fund and the proposed distribution plan. Eligible class members do not need to submit claim forms to receive a pro rata share of the net proceeds. Any objections to the terms or legal fees must be submitted by October 26, 2026.
