The New York-based law firm is currently reviewing four specific corporate transactions for potential breaches of fiduciary duty. These include the $9.50 per share cash sale of Global Business Travel Group (NYSE: GBTG) to Long Lake Management, the merger of Bio Green Med Solution (NASDAQ: BGMS) with Future NRG Sdn. Bhd., and the acquisition of SUNation Energy (NASDAQ: SUNE) by Suniva, which would leave existing shareholders with approximately 1.8% of the combined entity.
Additionally, the firm is investigating the sale of Esperion Therapeutics (NASDAQ: ESPR) to funds managed by ARCHIMED. That deal, valued at $3.16 per share plus potential milestone payments, is being evaluated for terms that might restrict superior competing offers or disadvantage the company's investors. Halper Sadeh LLC stated it may pursue legal remedies, including requests for increased consideration or additional corporate disclosures, on behalf of affected shareholders.
