Halper Sadeh Launches Investigations into Four Corporate Mergers

Investors are questioning whether the proposed sales of Option Care Health, Pacira BioSciences, RXO, and Boundless Bio prioritize insider interests over shareholder value. New York-based law firm Halper Sadeh LLC has initiated probes into these four transactions, citing potential breaches of fiduciary duties and federal securities law violations.

The investigations target specific acquisition terms that may stifle competitive bidding or undervalue company assets. Option Care Health faces scrutiny over its $32.05 per share sale to CD&R and McKesson Corporation, while Pacira BioSciences is under review for its $36.50 per share all-cash deal with Viatris Inc.

RXO Inc. shareholders are looking at a combination involving cash and C.H. Robinson stock, set to leave them with an 11% stake in the merged entity. Meanwhile, the merger between Boundless Bio and Serapha Bio faces similar legal inquiry, with shareholders expected to retain only 3.7% of the resulting company. Halper Sadeh attorneys contend these deals may contain restrictive clauses that prevent superior offers from emerging. The firm is currently evaluating whether to seek increased financial consideration or additional disclosures for investors involved in these transactions.
