Trinity Capital Prices $350 Million Debt Offering for Debt Reduction

Phoenix-based Trinity Capital has priced an underwritten public offering of $350 million in unsecured notes, set to mature in January 2032. The offering, which carries a 7.50% annual interest rate, aims to provide the alternative asset manager with capital to pay down existing debt under its KeyBank credit facility.

The notes are scheduled to pay interest semiannually, with the first payment cycle beginning January 15, 2027. Under the terms disclosed by the company, Trinity Capital retains the option to redeem the notes in whole or in part prior to maturity, subject to a potential make-whole premium. The transaction is expected to finalize by October 5, 2026, pending customary closing conditions.

Keefe, Bruyette & Woods and MUFG Securities Americas are leading the offering as joint book-running managers. Beyond the reduction of obligations under the KeyBank Credit Facility, the company intends to allocate the remaining net proceeds toward general corporate activities.
