GeoNova Capital Backs NovaGen in Nasdaq Merger Bid

Dubai-based GeoNova Capital has committed $10 million as the lead cornerstone investor and corporate adviser for NovaGen Group B.V. The investment follows NovaGen’s September 14 announcement of a proposed business combination with Nasdaq-listed Veea Inc., aiming to establish a new public entity focused on longevity and precision health.

The proposed merger intends to integrate Veea’s cybersecure AI infrastructure with NovaGen’s clinical expertise in cellular reprogramming. This combination would create a unified platform, NovaGen Health Networks, operating at the intersection of regenerative medicine and edge AI. While a non-binding term sheet is in place, both parties are currently finalizing definitive documentation to secure the transaction.

Robert Hamilton, Managing Partner of Capital Markets at GeoNova, described the deal as a hallmark of the firm’s strategy to provide both capital and structural discipline to companies undergoing transformational shifts. Beyond its initial $10 million commitment, GeoNova is opening the opportunity to its network of family offices and institutional investors. The firm is actively seeking similar mandates, targeting companies with established IP and clear paths to U.S. public markets through reverse mergers or uplistings.
