Shareholders of EquipmentShare.com Inc. have until September 21, 2026, to file as lead plaintiffs in a class action lawsuit. The litigation targets the company’s disclosures surrounding related-party transactions, following a sharp market correction that erased over 34% of the stock’s value after its January initial public offering.

The legal action, filed by Levi & Korsinsky, LLP, focuses on the period between January 23 and June 23, 2026. Plaintiffs allege that EquipmentShare’s IPO prospectus and subsequent filings misrepresented the scope of financial ties to entities controlled by the company’s co-founders. Specifically, the complaint claims that disclosures failed to account for transactions involving firms such as EZ Equipment Zone, Bevel Financial, and Armada Fleet Management.

Market volatility intensified in late June 2026 following an investigative report by Umibōzu Research. The report alleged that founder-affiliated entities received at least $77 million through the company’s OWN Program, a detail the lawsuit suggests was omitted from official SEC filings. Following these revelations, the stock price fell from its $24.50 IPO peak to a low of $16.06. Lead attorney Joseph E. Levi noted that the timeline of these disclosures raises fundamental questions regarding whether shareholders were provided with an accurate picture of the company's related-party exposure.
