The Extraordinary General Shareholders' Meeting, chaired by Francisco Reyes Villamizar, approved an amendment to Article 20 of the company’s bylaws. This change specifically targets the renewal and election procedures for the board. To ensure immediate implementation, shareholders instructed the board to align all internal corporate governance instruments—including the Board Succession Policy—with these new mandates. The resolution further clarifies that any previous internal requirements, such as mandatory quotas for incumbent directors, will not serve as an impediment to the newly elected board's authority.
Following the vote, the company confirmed the election of nine new board members for the current institutional term. The new board includes Carlos Augusto Suárez Rojas, Jorge Alberto Jaller Jaramillo, José Camilo Manzur Jattin, Ludmila Del Carmen Vergara Rosales, Betzy Patricia Martínez Zapatero, Claudia Margarita Lafaurie Taboada, César Eduardo Loza Arenas, Ricardo Rodríguez Yee, and Luis Felipe Henao Cardona. The proposal to allow for additional, spontaneous agenda items during the session was rejected by a significant margin.
