These practices reportedly masked underlying operational weaknesses that eventually compromised the company's full-year financial guidance.
The situation reached a breaking point on July 14, 2026, when Pentair announced preliminary second-quarter results that fell significantly short of market expectations. The company reported anticipated sales of $930 million, well below the previously forecasted $1.14 billion. This disclosure triggered a 15% slide in share price the following day. Compounding investor concern, the company simultaneously announced the immediate departure of CFO Nicholas Brazis after only four months in the position. Reed Kathrein, the Hagens Berman partner overseeing the investigation, noted that the firm is scrutinizing the timing of these disclosures and the abrupt executive exit to determine the full extent of the alleged corporate negligence.
