The complaint alleges that EquipmentShare failed to disclose the full extent of related-party transactions tied to its OWN Program, a platform allowing participants to purchase equipment and earn rental revenue. According to the lawsuit, these arrangements routed millions in fees to entities including EZ Equipment Zone, Bevel Financial, and Armada Fleet Management—connections that were purportedly downplayed or omitted in IPO disclosures.
Financial data cited in the suit suggests these transactions funneled at least $77 million to founder-affiliated groups. Following the public emergence of these allegations, EquipmentShare shares fell from their $24.50 IPO price to a low of $16.06, representing a decline of more than 34.5%. Investors are now being urged to evaluate their losses and preserve records of their transactions as the case proceeds in the United States District Court for the Southern District of New York.
