Lundbeckfond Invest A/S, the primary shareholder and subsidiary of the Lundbeck Foundation, has launched a voluntary exchange offer for A-shares in the Danish biopharmaceutical firm H. Lundbeck A/S. The company confirmed it will participate in the offer with its own holding of A-shares, signaling a consolidation of the firm's ownership structure.

The offer, announced August 19, 2026, in Valby, targets eligible holders of the company’s A-class stock. While Lundbeck has publicly stated its intent to tender its shares as part of the exchange, the process remains governed by specific terms and conditions outlined by the parent foundation. Interested parties are directed to the Lundbeck Foundation’s official portal for full documentation and regulatory details regarding the tender.

Management emphasized that these shares are not registered under the U.S. Securities Act of 1933. Consequently, the offer is restricted in the United States unless participants qualify for an exemption from existing registration requirements. The move comes as H. Lundbeck A/S continues its focus on neuro-specialty and rare neurological treatments, maintaining a global presence with over 5,000 employees and operations spanning 80 countries.
