The transaction for the Mulfingen-based company, founded in 1963, will be funded through a mix of cash on hand, debt, and equity. Madison Air expects the purchase to be accretive to its adjusted earnings per share within the first full year of completion. Leadership from both firms cited a shared commitment to engineering excellence as a primary driver for the merger, which seeks to combine Madison’s market reach with ebm-papst’s specialized technology.
Madison Air anticipates achieving annual run-rate synergies of $160 million by the third year post-closing. By utilizing its established operating model, the company plans to streamline procurement and operational efficiencies across its newly expanded global footprint. The acquisition adds over 1,200 patents to Madison’s existing air quality solutions, strengthening its position in mission-critical industrial and cooling applications.
