Investors who purchased Rackspace Technology, Inc. securities between May 7 and July 8, 2026, are now eligible to join a securities fraud class action. The lawsuit, filed in the Southern District of New York, centers on allegations that the company misled shareholders regarding the financial impact of its enterprise AI transition.

The legal action, captioned Morgan-Reed v. Rackspace Technology, Inc., claims that Rackspace misrepresented the health of its business operations during the spring and early summer. Plaintiffs allege the company failed to disclose that its pivot toward AI initiatives necessitated a significant reallocation of capital away from its profitable Private Cloud segment. Furthermore, the complaint asserts that Rackspace obscured the reality of declining Public Cloud revenue as clients increasingly bypassed the firm to contract directly with hyperscale platforms.

The market reacted sharply to these disclosures on July 9, 2026, when Rackspace announced a $150 million reduction in its full-year revenue guidance and a $25 million cut to its Private Cloud outlook. Following the announcement, the company's stock price plummeted 33.6%, closing at $4.37 per share.
