The litigation, filed in the United States District Court for the Southern District of New York, centers on claims that the company’s Registration Statement and Prospectus contained materially false information. Plaintiffs argue that EquipmentShare failed to disclose the true extent of its financial ties to founder-linked businesses, including EZ Equipment Zone, Bevel Financial, and Armada Fleet Management. These entities allegedly played significant roles in the company's proprietary OWN program and T3 platform, yet their influence remained obscured from public investors.
The complaint gained momentum following a June 24, 2026, report that challenged the company's prior assurances that it would reduce or terminate transactions with co-founder-controlled entities. The report suggested these undisclosed arrangements netted affiliated parties at least $77 million. Following the IPO, where the company sold 30.5 million shares at $24.50, the stock price subsequently dropped to a low of $16.06, representing a 34.5% decline. Levi & Korsinsky, LLP, which is representing the class, maintains that these omissions prevented investors from accurately assessing the company's business risks and operational stability.
