Monteverde & Associates Scrutinizes Four Corporate Mergers

With shareholder votes approaching for four separate corporate mergers, New York-based Monteverde & Associates PC has launched investigations into the fairness of the proposed deals. The firm, led by attorney Juan Monteverde, is currently reviewing transactions involving PSB Holdings, AstroNova, Olin Corporation, and Huntsman Corporation ahead of their respective August and September deadlines.

The firm is examining the acquisition of PSB Holdings, Inc. (PSBQ) by Bank First Corporation, where shareholders are slated to receive 0.3470 shares of Bank First stock. The vote on this transaction is set for September 2, 2026. Simultaneously, investors in AstroNova, Inc. (ALOT) are facing an August 25, 2026, vote regarding a cash-out merger with Arcline Investment Management, which offers $29.00 per share.

The firm is also scrutinizing the complex combination of Olin Corporation (OLN) and Huntsman Corporation (HUN). Following the transaction, Olin shareholders are expected to control approximately 54.5% of the combined entity, while Huntsman investors are set to receive 0.5476 shares of Olin for each share held. Both Olin and Huntsman shareholders are scheduled to cast their votes on August 25, 2026.

Monteverde & Associates, which operates out of the Empire State Building, emphasizes that its review process is open to shareholders at no cost. The firm encourages investors to contact their office to discuss potential concerns regarding these mergers, citing its history of litigation in securities class actions as a basis for its ongoing investigations.
