The agreement with TCW serves as the cornerstone of Accuray's restructuring, involving a $40 million debt-to-equity conversion and a $15 million cash investment. To provide additional runway, the lender has granted a covenant holiday through the end of 2027 and extended a $5 million delayed-draw term loan. As part of the governance shift, the company’s board will shrink from eight to seven members, with TCW installing two designees, Steven Mayer and Chan Galbato, to oversee the implementation of the new roadmap.
Beyond capital stabilization, CEO Steve La Neve is shifting the company’s focus toward external collaboration. Accuray has signed non-binding letters of intent with Samsung HME America to advance volumetric imaging and with RaySearch Laboratories for integrated adaptive radiation therapy. These efforts, combined with an ongoing partnership with Tata Consultancy Services to optimize remote diagnostics, are intended to streamline operations and accelerate the rollout of proprietary technologies like ClearRT imaging and Synchrony motion management. The company now enters its second phase of transformation, prioritizing cost-efficiency and expanded market reach to drive long-term profitability.
