Investors Launch Class Action Lawsuit Against GPGI Over Acquisition Claims

Investors who purchased GPGI, Inc. Class A common stock between November 3, 2025, and May 6, 2026, are now eligible to join a securities fraud class action lawsuit. Filed in the Southern District of New York, the litigation targets alleged misrepresentations regarding the company’s acquisition of Husky Technologies Limited.

The lawsuit, captioned City of Warren Police and Fire Retirement System v. GPGI, Inc., centers on claims that the company inflated the valuation of Husky Technologies to secure shareholder approval. The complaint alleges that Husky failed to meet revenue and EBITDA targets, and that the acquisition was primarily designed to generate fees for Resolute Holdings and company insiders rather than provide value to shareholders.

Concerns over the deal surfaced following a February 2026 report from Jehosaphat Research, which claimed GPGI had significantly overstated Husky’s value and financial health. Subsequent financial disclosures in March and May 2026 revealed declining performance metrics and slashed guidance, triggering sharp drops in the company’s share price. Investors interested in seeking lead plaintiff status must file their applications by September 14, 2026.
