The complaint alleges the company misled shareholders regarding the financial health and valuation of its acquisition of Husky Technologies Limited.

The litigation targets GPGI, Inc.—formerly known as CompoSecure—following a series of disclosures that reportedly eroded investor confidence. According to the complaint filed by Robbins LLP, the company overstated the value of Husky Technologies during the acquisition process to secure shareholder approval. Plaintiffs contend that the deal was less about long-term corporate growth and more about generating significant fees for Resolute Holdings and individual defendants.

Market skepticism intensified on February 26, 2026, when a report by short seller Jehoshaphat Research challenged the financial projections provided to shareholders. The analysis suggested that Husky was failing to meet key revenue and EBITDA targets. Following these revelations, GPGI stock plummeted from $23.12 per share on February 26 to $12.94 by May 7, 2026, marking a 44% decline in value.

Investors who incurred losses during this period have until September 15, 2026, to apply for lead plaintiff status. While this role involves guiding the litigation, participation in a potential recovery does not require taking on this specific legal responsibility. Robbins LLP is handling the case on a contingency basis, meaning no upfront costs for participating shareholders.
