The lawsuit alleges that Black Rock Coffee’s IPO documents falsely promised a "concentric circle" growth model that would expand store density without cannibalizing sales. According to the complaint, management continued to push aggressive growth targets while allegedly withholding internal data that showed new locations were actively siphoning traffic from established, high-volume shops. This failure to disclose operational headwinds persisted until the company's May 12, 2026, earnings report.
By June 18, 2026, the date the suit was filed, share prices had plummeted to $7.72, marking a decline of more than 61% from the IPO price. Reed Kathrein, the Hagens Berman partner leading the investigation, stated that the firm is focused on determining exactly when leadership became aware that the expansion strategy was eroding revenue and when that information should have been disclosed to the public. Shareholders seeking to serve as lead plaintiff in the case must file their motions by August 17, 2026.
