Microsoft Faces Class Action Lawsuit Over Copilot AI Growth Claims

Investors who purchased Microsoft Corporation securities between May 1, 2025, and January 28, 2026, are now the subject of a class action lawsuit led by Robbins LLP. The complaint alleges that the tech giant misled shareholders regarding the actual adoption rates and performance of its Copilot AI tools.

The legal action centers on accusations that Microsoft executives painted a rosy picture of Copilot’s enterprise success and Azure’s AI-driven momentum while masking underlying technical failures. According to the filing, the company allegedly hid significant user experience, interoperability, and capacity problems that hindered the conversion of Microsoft 365 users into paid subscribers. Instead of the growth promised to markets, the company was reportedly forced to divert massive Azure computing resources to troubleshoot these internal product issues.

The situation reached a breaking point on January 28, 2026, following the company’s fiscal second-quarter earnings report. Microsoft disclosed that Copilot seats reached only 15 million—a figure that fell well below analyst projections—and revealed that Azure growth was suffering due to resource redirection. Following these disclosures, the company’s share price dropped from $481.63 to $433.50 in a single day. Robbins LLP is now seeking investors to serve as lead plaintiffs in the litigation, which is being conducted on a contingency fee basis.
