UWM Holdings Investors Face Final Deadline in Securities Class Action

A 34% single-day share price collapse on August 6, 2026, has triggered a securities class action against UWM Holdings Corporation. The lawsuit targets the mortgage lender’s failure to disclose the extent of its hedging risks following a failed acquisition bid for Two Harbors Investment Corp., leaving investors with massive losses.

The litigation focuses on UWM’s hedging strategy initiated during its December 2025 attempt to acquire Two Harbors for $1.3 billion. While the merger agreement ultimately collapsed in March 2026, the complaint alleges that UWM remained over-hedged on the portfolio. This position transformed from a protective measure into a speculative gamble, resulting in a $603 million hedging loss.

Investors remained largely unaware of the true financial exposure until August 6, 2026, when the company revealed a $451 million net loss and a 38% reduction in total equity. Management subsequently announced a dilutive recapitalization plan to address the shortfall. Between the initial acquisition announcement and the August disclosure, UWM shares dropped approximately 75%.

Reed Kathrein, the Hagens Berman partner leading the investigation, is now questioning why management failed to unwind these positions earlier and remained silent regarding the risks of naked hedging. The firm is currently seeking investors who suffered significant losses during the class period from March 9, 2026, to August 5, 2026. The deadline for stakeholders to apply as lead plaintiff is October 13, 2026.
