Shareholders of record as of October 8, 2026, are eligible to vote on a proposal that grants the board discretion to implement a reverse share split should the closing bid price for Class A Ordinary Shares fall below the US$1.00 threshold for three consecutive trading days.
To ensure market liquidity, the board has outlined a tiered selection process for the consolidation ratio, ranging from 10:1 down to 2:1. The specific ratio will be determined by the highest consolidation factor that allows the company to retain at least 500,000 publicly held shares. Should even a 2:1 split fall below this threshold, the plan will be suspended pending further shareholder approval. Following any consolidation, the firm also intends to expand its authorized share capital by creating additional Class A, Class B, and Series A Preferred shares, a move described as a structural increase in capacity rather than an immediate issuance of new equity.
