Amsterdam Court Rejects Shareholder Inquiry into OCI Strategy

The Enterprise Chamber of the Amsterdam Court of Appeal has dismissed a petition from the VEB and select minority shareholders seeking an official inquiry into OCI N.V.’s recent corporate policies. By denying the request, the court cleared a significant legal hurdle for the company’s ongoing strategic restructuring plans.

The court’s decision mandates that the VEB and individual shareholder Smits cover the administrative costs of the proceedings, totaling approximately €18,000. These funds will be distributed among OCI, NNS, the firm’s independent directors, and the court-appointed officials who participated in the case.

With this legal challenge resolved, OCI confirmed that the NNS offer and the Extraordinary General Meeting, slated for October 30, 2026, will proceed as scheduled.
