Institutional holders now face a November 27, 2026, deadline to apply for lead plaintiff status.

The lawsuit targets the period between November 24, 2025, and September 16, 2026, a window during which the company’s financial projections underwent significant downward revisions. Initially, Fluence Energy suggested its backlog secured its fiscal 2026 revenue outlook. However, the complaint alleges that this backlog was tied to contract manufacturing facilities that were neither completed nor capable of meeting projected output volumes.

Disclosures throughout 2026 triggered substantial stock price volatility. Specifically, the company’s adjusted EBITDA guidance collapsed from a $50 million midpoint to a projected $200 million loss, while revenue targets were slashed from a $3.6 billion ceiling to approximately $2.4 billion. Legal experts note that pension funds and ERISA plan fiduciaries may need to audit these transactions, as the alleged misstatements emerged across three distinct disclosures in February, August, and September. While institutional investors with the largest financial stakes are often tapped to lead such litigation, those who choose not to seek appointment remain part of the class and eligible for potential recovery.
