Following the consolidation, the company’s issued and outstanding Class A shares will contract from 145,814,975 to approximately 7,290,749. Shareholders do not need to take action; the conversion is automatic, and the shares will continue trading on the Nasdaq Capital Market under the ticker symbol RETO. To distinguish the post-split equity, the company has assigned a new CUSIP number, G75271158.
Fractional shares will not be issued, though the company has implemented a rounding provision: shareholders who would have received a fractional share due to a holding not evenly divisible by four will be granted an additional full share. Because the company is incorporated under the laws of the British Virgin Islands, this board-approved consolidation does not require a formal shareholder vote. VStock Transfer, LLC has been appointed as the exchange agent to manage adjustments for those holding physical stock certificates.
