The capital raise, finalized in Wilmington, Delaware, will see the issuance of 123,650 shares. BEN Capital Fund I and investor Joseph Bevash are splitting the commitment equally. While an initial $150,025 was funded at the September 22 closing, the remaining $901,000 is scheduled to arrive in five monthly installments through February 2027. Each share includes a six-month warrant to purchase an additional share at the same $8.50 strike price.
CEO Tyler Luck framed the agreement as a validation of the company's trajectory, noting that the investors are prioritizing long-term strategy over short-term market fluctuations. This transaction marks the latest in a series of 2026 equity raises for the Nasdaq-listed AI firm, all of which have been executed at significant premiums to prevailing market prices. The funding arrives as the company continues to integrate recent acquisitions, including the June purchase of Cataneo GmbH, into its proprietary Engagement Language Model ecosystem.
