Softcat Acquires General Datatech from H.I.G. Capital for $1.05 Billion

Global investment firm H.I.G. Capital has reached a definitive agreement to sell General Datatech, an IT services provider based in Dallas, to Softcat plc. The deal, valued at $1.05 billion, marks the conclusion of a five-year growth cycle that saw the company double its EBITDA under H.I.G.’s ownership.

Since acquiring GDT in 2021, H.I.G. Capital focused on expanding the company’s footprint in high-growth sectors, specifically hybrid cloud, cybersecurity, and AI-ready infrastructure. The transformation included the establishment of a global delivery center in Bangalore and a strategic shift toward recurring revenue models. GDT CEO Shawn O’Grady credited the partnership for enabling the company to diversify its service offerings and modernize its enterprise-grade technology stack.

Financial advisors Guggenheim Securities and Moelis & Company facilitated the transaction, with legal counsel provided by Kirkland & Ellis. The acquisition is expected to finalize by the end of the first quarter of 2027, pending customary closing conditions. For Softcat, the addition of GDT provides a significant boost to its global IT solutions capabilities, integrating a firm with a 30-year operational history into its existing portfolio.
