Investors holding the 2029 notes are being offered a purchase price of $992.50 per $1,000 in principal, plus accrued interest. The tender offer is scheduled to expire at 5:00 p.m. New York City time on September 23, 2026, unless the company chooses to extend or terminate the process early. Settlement is expected to occur five business days following the expiration date.
This buyback is linked to a concurrent issuance of new notes by the co-issuers. While the company may provide priority in new note allocations to investors who participate in the tender, it has issued no guarantees regarding such allocations. If the total principal amount of notes tendered exceeds the $400 million cap, the company will accept them on a pro rata basis. Any securities successfully repurchased through this offer will be retired and canceled. BofA Securities, Citigroup, and J.P. Morgan are serving as dealer managers for the transaction.
