CleanSpark Seeks $2.2 Billion in Debt to Expand Sandersville Facility

CleanSpark, Inc. is moving to raise $2.227 billion through a private offering of senior secured notes due in 2031. The Las Vegas-based data center developer intends to leverage these funds to finalize the construction of its Sandersville facility and reimburse previous equity contributions tied to the project.

The offering, managed through the company’s subsidiary CSDC Finance I, LLC, targets qualified institutional buyers under Rule 144A and non-U.S. investors via Regulation S. The debt will be backed by first-priority liens on the assets of the issuer and its subsidiary, CSRE Properties Sandersville, LLC, alongside a completion guarantee provided by the parent company to ensure the facility reaches operational status.

Beyond finalizing the Sandersville site, the company plans to allocate a portion of the proceeds to fund debt service reserves. The completion of this capital raise remains subject to prevailing market conditions, and the company has cautioned that the final terms of the notes have not been finalized.
