Australian Miner NT1 Plans New York Listing via SPAC Merger

Australian mineral explorer NT1 Pty Ltd has entered a definitive merger agreement with Plutonian Acquisition Corp. II, a move designed to secure a listing on the New York Stock Exchange. The transaction values the Sydney-based firm at an estimated $500 million, targeting expanded access to international capital markets by 2027.

The merger will see NT1 shareholders exchange their current holdings for shares in the purchasing entity, which is valued at $10.00 per share. NT1, which operates primarily in Western Australia and the Northern Territory, intends to utilize the influx of U.S. capital to accelerate its exploration programs for rare earth elements, niobium, and iron oxide copper gold (IOCG) systems. The company confirmed that its existing management team and business structure will remain in place following the completion of the deal.

Frank Jiang, Chief Financial Officer of NT1, described the agreement as a defining moment for the firm, noting that the partnership provides a platform to address rising global demand for strategic minerals. Wei Kwang NG, CEO of Plutonian II, added that the collaboration aims to foster long-term value creation for shareholders. The finalization of the merger remains subject to regulatory reviews, shareholder approvals, and standard closing conditions.
