According to the filing, Fractyl Health touted the REMAIN-1 Midpoint Cohort results as statistically significant while failing to mention that one of the six study sites lacked a necessary dietary center. This omission allegedly led to higher-than-expected weight regain among patients, undermining the clinical efficacy data presented to shareholders.
Plaintiffs argue that these oversights violated Regulation S-K requirements, specifically Item 105 and Item 303, which mandate the disclosure of material risks and trends. The company’s stock price plummeted from $1.83 on January 28, 2026, to $0.46 just two days later, following the revelation of the six-month results and the underlying site issues. Investors who purchased securities during the class period and suffered losses have until October 20, 2026, to seek lead plaintiff status in the Southern District of New York.
