UWM Holdings Faces Class Action Lawsuit After $603 Million Hedge Loss

A 34% single-day share price collapse on August 6, 2026, has triggered a securities class action lawsuit against UWM Holdings Corporation. The litigation follows revelations that the mortgage lender sustained massive losses from an over-hedged position tied to a failed acquisition attempt of Two Harbors Investment Corp.

The legal action, led by the firm Hagens Berman, centers on allegations that UWM failed to disclose the extent of its exposure regarding its hedging strategy. In late 2025, UWM announced plans to acquire Two Harbors for $1.3 billion. To secure the deal, the company engaged in complex hedging transactions against Two Harbors' mortgage servicing rights. When the acquisition collapsed in March 2026 after Two Harbors opted for a deal with CrossCountry Mortgage, UWM was left holding these speculative positions.

Investors remained largely unaware of the financial fallout until August 6, 2026, when the company confirmed a $603 million hedging loss and a $451 million net loss. Management acknowledged that the firm was over-hedged, leading to a 38% plunge in total equity and a subsequent plan for massive shareholder dilution. Since the initial acquisition announcement in December 2025, UWM stock has declined by approximately 75%. Reed Kathrein, a partner at Hagens Berman, is spearheading the investigation into why management delayed unwinding these hedges and remained silent on the associated risks. The deadline for investors to serve as lead plaintiffs is October 13, 2026.
