The litigation, pending in the United States District Court for the District of New Jersey, centers on claims that Kornit, alongside CEO Ronen Samuel and CFO Alon Rozner, violated federal securities laws by failing to provide accurate disclosures. While the defendants have reached this agreement to resolve the claims, they continue to explicitly deny any wrongdoing or liability, maintaining that the allegations lack merit.
Investors who purchased Kornit shares during the specified period, or through the company's November 2021 secondary offering, are eligible to participate in the settlement. A fairness hearing is scheduled for November 18, 2026, before Judge Madeline Cox Arleo to review the proposal and approve the allocation plan. Class members must submit a claim form by December 10, 2026, to receive a share of the funds, or file for exclusion by October 28, 2026, if they wish to opt out of the settlement entirely.
