Sun Life and Wilton Re Form Windsor Life Re to Target $10B in Assets

Sun Life Financial and Wilton Re have entered a strategic partnership to launch Windsor Life Re, a new reinsurance entity designed to manage up to $10 billion in assets. The deal combines Wilton Re’s liability management with Sun Life’s investment platform, aiming to accelerate growth in the life and annuity sector.

The new venture, to be domiciled in the U.S. and Bermuda, is built on a $900 million capital commitment shared equally between the two firms. Windsor Life Re will immediately reinsure a $1.7 billion in-force block from Wilton Re, with future business to be ceded on a quota share basis. SLC Management, the institutional alternatives arm of Sun Life, will serve as the lead asset manager for the vehicle.

Tom Murphy, President of Sun Life Asset Management, noted that the partnership provides essential access to permanent capital, while Wilton Re CEO Dmitri Ponomarev emphasized the move as a way to scale their presence in the life insurance and annuity market. The transaction is slated to close in the first half of 2027, pending regulatory approvals.
