While the company repeatedly touted "rectification measures" in SEC filings to satisfy the China Securities Regulatory Commission, the complaint contends that Futu continued conducting securities and futures business without the necessary licenses. This allegedly unlicensed activity fueled the company's growth metrics, which were presented to investors as evidence of successful regulatory navigation.
The facade fractured in May 2026, when the CSRC proposed an aggregate penalty of RMB 1.85 billion—approximately USD 271 million—for ongoing violations. The market reacted sharply to the disclosure, with Futu shares plummeting 27.5% in a single session, a loss of $34.10 per share. An additional decline occurred days later following the release of Q1 2026 earnings, which quantified the financial impact of the regulatory crackdown. Joseph E. Levi, the attorney representing the plaintiffs, stated that the scale of the proposed penalty brings the adequacy of the company’s disclosures during the Class Period into question.
