Hertz Investors Face September Deadline in Securities Class Action

Investors who purchased Hertz Global Holdings, Inc. securities between May 7 and June 23, 2026, have until September 22 to seek lead plaintiff status. A class action lawsuit alleges the company misled shareholders regarding its liquidity and fleet management stability before announcing a major dilutive financing package.

The legal action centers on a volatile seven-week window in 2026. On May 7, Hertz reported first-quarter results that emphasized $837 million in liquidity and progress toward depreciation targets. The following day, a Form 10-Q filing assured investors that cash reserves and refinancing options remained sufficient to cover obligations for at least the next twelve months.

However, the narrative shifted abruptly on June 24, 2026. Hertz announced a $300 million offering of senior secured notes alongside a share-lending program, while simultaneously disclosing unexpected weakness in the used-car market. The company also slashed its second-quarter adjusted corporate EBITDA guidance to a range of $50 million to $80 million. Following these disclosures, Hertz common stock plummeted more than 40%, closing at $3.00 per share.

The complaint contends that these events reveal a pattern of misrepresentation. According to the filing, the company’s earlier assurances failed to account for severe liquidity pressures and deteriorating residual values within its fleet. Joseph E. Levi, the lead attorney representing the class, stated that the timing of the dilutive financing immediately following positive guidance suggests a fundamental disconnect in the company's market communications. Investors seeking to participate in the litigation must submit their claims by the September deadline.
