Advertisers often rely on opaque dashboard reports to verify multi-million dollar ad spends, but a new contractual framework aims to shift that power. FouAnalytics has released a public Master Services Agreement boilerplate designed to mandate directly observed, placement-level evidence for all digital media billability and quality requirements.

The new template forces a departure from legacy verification, where advertisers frequently accept aggregate scores or platform-provided invoices as proof of performance. Under the proposed model, media placements are only billable if they meet specific criteria defined in a campaign-specific measurement plan. This effectively shifts the burden of proof onto agencies and vendors, requiring them to facilitate independent data access before funds are committed.

Dr. Augustine Fou, CEO of FouAnalytics, argues that the industry remains vulnerable to the types of fabrication seen in previous high-profile ad fraud cases. By standardizing the requirement for render-level data and screenshots, the boilerplate allows procurement teams to reconcile delivery against actual human engagement. The framework explicitly disqualifies invoices or platform-reported impressions as sufficient evidence of rendering, viewability, or brand safety on their own.

To ensure transparency, the agreement prohibits undisclosed markups, inventory arbitrage, and rebate retention. It also mandates that advertisers retain administrative control over their data and measurement accounts, ensuring they can conduct audits for up to four years post-campaign. While the document serves as a starting point, it provides a rigorous structure for managing supply-chain transparency across channels ranging from programmatic display and CTV to retail media.
