Halper Sadeh Launches Investigations into Four Corporate Mergers

Investors may be losing out as Halper Sadeh LLC probes potential fiduciary breaches in the proposed acquisitions of Distribution Solutions Group, Helix Energy Solutions, AtaiBeckley, and Crinetics Pharmaceuticals. The firm is examining whether these transactions unfairly prioritize insider interests or suppress superior competing offers for public shareholders.

The New York-based law firm is scrutinizing the terms of four high-profile deals to determine if they violate federal securities laws. The investigation includes the $35.00-per-share cash sale of Distribution Solutions Group (DSGR) to LKCM Headwater Investments and the $85.00-per-share cash acquisition of Crinetics Pharmaceuticals (CRNX) by Vertex Pharmaceuticals.

Legal representatives are also evaluating the merger between Helix Energy Solutions (HLX) and Hornbeck Offshore Services, which leaves Helix shareholders with a 45% stake in the combined entity. Additionally, the firm is reviewing the sale of AtaiBeckley (ATAI) to Eli Lilly. This deal includes $6.75 per share in cash plus a potential $2.50 contingent value right tied to specific regulatory milestones for the BPL-003 and VLS-01 programs. Halper Sadeh aims to secure increased compensation or enhanced disclosures for investors, operating on a contingent fee basis for those impacted by these corporate developments.
