Kyndryl has formalized the hiring of its new Chief Financial Officer, Ellen Johnson, and General Counsel Andrew Bonzani by granting them significant equity awards. The move, approved by the company’s Compensation and Human Capital Committee, serves as a material inducement for their appointments and adheres to NYSE Rule 303A.08.

The compensation packages for both executives include a mix of performance stock units and restricted stock units, structured to align leadership interests with long-term company performance. Ellen Johnson receives 248,514 performance stock units, 121,248 restricted stock units, and 115,474 special sign-on units. The performance units are tied to specific three-year criteria, with a potential payout reaching 180% of the target if maximum performance is achieved. The restricted units follow a four-year vesting schedule, while the sign-on grants vest over three years.

Andrew Bonzani’s package mirrors this structure, featuring 138,063 performance stock units, 67,360 restricted stock units, and 96,228 special sign-on units. These awards were issued under the newly adopted Kyndryl 2026 Employment Inducement Equity Incentive Plan. According to the company, the terms of these grants remain consistent with the existing 2021 Long-Term Performance Plan used for broader equity incentives.
