The amended complaint, filed in June 2026, asserts that Fiserv masked a slowdown in new merchant acquisition by forcing users off its legacy Payeezy platform and onto Clover. Plaintiffs argue that this migration artificially inflated gross payment volume and revenue figures, creating a facade of growth while the company simultaneously struggled with platform downtime and high pricing. According to the allegations, these systematic issues led to a significant exodus of merchants once the forced conversions were complete.
Investors who held Fiserv stock prior to February 2024 remain the primary focus of the Shareholders Foundation, which is currently monitoring the case. The foundation, a service that tracks securities litigation for portfolio holders, has urged those affected to reach out for guidance as the court prepares to evaluate the defendants' motion to dismiss. While the legal proceedings continue, the core of the dispute remains whether Fiserv’s public statements regarding its business prospects were materially misleading to the market.
